Terms & Conditions

These Terms and Conditions (“Terms”) are between APARTNER (PRIVATE) LIMITED (“Service Provider”) and the User (“User”) and govern the User’s access to and use of the Apartner mobile application, website, and related products and services (collectively, the “Platform”). By registering for, accessing, or using the Platform, the User agrees to be bound by these Terms. If the User does not agree, they should discontinue use of the Platform.

1. Eligibility

The User must be a natural person who is at least 18 years of age, or a duly authorised representative of a legal entity, to use the Platform. By using the Platform, the User warrants that the information provided during registration is true, accurate, and complete.

2. The Services

The Platform provides digital apartment management services, including but not limited to visitor management, parcel management, facility bookings, complaint management, billing, community communications, and an optional AI-powered assistant (“Arty”). The scope of services available to a User may depend on the User’s role (e.g., resident, tenant, Management Council member) and the arrangements in place with the relevant Management Council and/or property Developer.

Payments made through the Platform are processed via authorized third-party payment gateways. Applicable fees, charges, and billing arrangements are determined by the relevant Management Council and/or Developer. Refunds are governed by the Apartner Refund Policy, which forms part of these Terms.

7. Privacy

The collection, use, and protection of personal data through the Platform is governed by the Apartner Privacy Policy, which complies with the Personal Data Protection Act No. 9 of 2022 (PDPA) of Sri Lanka and forms part of these Terms.

8. Intellectual Property

All intellectual property in the Platform, including software, trademarks, logos, designs, and content (excluding User-submitted content), is owned by or licensed to the Service Provider. The User is granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose.

9. Third-Party Services

The Platform may integrate with or rely on third-party services (including hosting providers, payment gateways, and AI service providers). The Service Provider is not responsible for the availability or performance of third-party services, though it will take reasonable steps to engage reputable providers under appropriate contractual safeguards.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Service Provider shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of, or inability to use, the Platform, including losses arising from decisions of a Management Council or Developer, actions of other users, or failures of third-party services. Nothing in these Terms excludes liability that cannot be excluded under the laws of Sri Lanka.

12. Indemnity

The User agrees to indemnify and hold harmless the Service Provider from claims, damages, and expenses arising out of the User’s breach of these Terms or misuse of the Platform.

13. Termination

The Service Provider may suspend or terminate the User’s access to the Platform for breach of these Terms, unlawful conduct, or where required by the relevant Management Council, Developer, or applicable law. The User may stop using the Platform at any time; account deletion requests are handled in accordance with the Privacy Policy.

14. Governing Law and Disputes

These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any dispute arising from these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

15. Changes to These Terms

The Service Provider may update these Terms from time to time. Updated Terms will be posted on the Platform with the revision date. Continued use of the Platform after an update signifies acceptance of the revised Terms.
